Introduction

I&M Capital Limited "The Company" is committed to the highest standards of openness, probity, and accountability. In line with this commitment, the Company encourages all its stakeholders to come forward and report any unethical or illegal behavior that in any way, shape, or form, relates to the operations of the Company.

What to Report

The concerns that stakeholders can report include but are not limited to the following:

Failure to comply with legal obligations, regulations, or statutes.

Criminal or unethical activity.

Improper conduct or unethical behavior.

Conduct which is an offence or a breach of law.

Disclosures related to miscarriages of justice.

The unauthorized use of the Company's funds and assets.

Fraud and corruption.

Attempts to conceal any of the above.

Note: This list is not exhaustive. Stakeholders are encouraged to report any concern they reasonably believe constitutes unethical, illegal, or improper conduct related to the Company's operations.

Reporting Channels

There are two primary channels through which concerns can be reported. The earlier a concern is raised, the easier it is to take appropriate action.

Written or In-Person Report

Concerns can be raised in writing or in person with the Chief Executive Officer, I&M Capital Limited.

It is important to note that the earlier a stakeholder raises the concern, the easier it is to take the appropriate action. Stakeholders who wish to make a written report are invited to use the following format:

  • The background and history of the concern (giving relevant dates).
  • The reason why he or she is particularly concerned about the situation.

Protections & Safeguards

I&M Capital is committed to ensuring all stakeholders who report concerns are fully protected and supported throughout the process.

Protection from Retaliation

The Company strictly prohibits retaliation against any stakeholder who in good faith reports a concern under this policy. Any act of retaliation is treated as a serious disciplinary matter.

Confidentiality

The identity of any individual reporting a concern will be kept strictly confidential, to the extent permissible by law. Anonymous reports are accepted and treated with equal seriousness.

Fair Investigation

All concerns raised will be assessed and, where appropriate, investigated in a fair, impartial, and timely manner. The subject of a report will also be afforded the right to respond.

Good Faith Reporting

This policy is intended for genuine concerns. Stakeholders reporting in good faith are fully protected even if the concern proves unfounded, provided the report was not made maliciously.

How Your Report Is Handled

Every concern raised is taken seriously. Here is what happens after you submit a report.

Raise Concern

Submit your concern via the CEO's office in writing or in person, or call the Tip-offs Anonymous Hotline on 0800 722 626.

Acknowledgement

Your report is received and acknowledged. Where contact details have been provided, you will receive confirmation that the matter has been logged.

Assessment

The concern is reviewed and assessed to determine the appropriate course of action, including whether a full investigation is warranted.

Investigation

Where appropriate, a fair and impartial investigation is conducted. All parties are afforded natural justice throughout the process.

Resolution

Findings are reviewed, and appropriate action is taken. Where permissible, the outcome may be communicated to the reporting stakeholder.

Feedback & Closure

The matter is formally closed and records are maintained in accordance with the Company's data protection and confidentiality policies.
